The GiveMN Terms of Use

Welcome to GiveMN. The GiveMN service (aka "givemn.razoo.com" ) is a website that provides individuals with opportunities to donate money to charities and then track their giving online. Razoo LLC (aka Razoo) is a partner company that provides the online infrastructure to connect donors with non-profits and process donation payments.

By using the GiveMN website (aka “Website”), you (aka “Member” or “You”) accept and agree to be bound by the following Terms of Use (aka "Terms of Service" or “Terms”) and the Privacy Policy. Nothing in these Terms should be construed to confer any rights to third party beneficiaries. If you do not agree to any of the terms and conditions set forth herein, you may not use this Service.

Changes to the Terms of Service

We reserve the right to modify or terminate the GiveMN service for any reason, and without notice, without liability to you, any other Member or any third party. We also reserve the right to modify these Terms of Service from time to time without notice. You are responsible for regularly reviewing these Terms of Service so that you will be apprised of any changes. Your continued use of the Website following any changes to these Terms is your agreement to the changes and you are bound by the then-current version of these Terms. If any changes to these Terms are unacceptable to you, you must cease use of the Website.

Eligibility and Registration

If you choose to create an account with us, you will be asked to select a username and password. We will ask you to provide certain personal information, such as first name, last name, and email address, in creating your user profile. Once created, the user profile will be viewable by the general public. However, you may choose to disable this option via your profile settings. You will be responsible for all activities occurring under your username and for keeping your password secure.

We may refuse to grant you a username that impersonates someone else, or may be protected by trademark or proprietary rights law, or is vulgar, offensive or otherwise inappropriate, as determined by us in our sole discretion. Any attempt to access restricted areas without authorization is prohibited. If you become aware of any unauthorized use of your password or other security breach, notify us immediately.

GiveMN has partnered with Razoo to develop and provide the GiveMN service. User accounts are shared between GiveMN and Razoo. Other contents shared between the two websites include:

• Organization information
• User profiles
• Fundraisers created by donors
• Projects created by non-profits
• Donor comments and any other user-generated contents

As such, your activities on GiveMN will also be governed by Razoo’s Terms of Use and Privacy Policy.

GiveMN and Razoo have access to all information you submitted to the Website. If you create an account with us, we may send a monthly newsletter, system messages pertaining to account information, and other communications to your email. You may opt out of the monthly newsletter by adjusting the settings in your user account.

This site is intended solely for individuals 13 years of age or older. Any use or access of the site from users under 13 is strictly prohibited. We reserves to right to terminate the membership of any such users and remove any content they may have contributed on the site.

Appropriate conduct and content; Personal Use Only

The GiveMN service is made available for personal, non-commercial use and for registered 501(c)(3) organizations to raise support. Individuals, businesses, organizations or other legal entities may not use the service for any commercial purpose without the express written consent of GiveMN.

You may not use the GiveMN service for any illegal or unauthorized purpose. While using the Website, you must comply with all applicable domestic and international laws, statues, ordinances and regulations. International users agree to comply with all local rules regarding online conduct and acceptable content, including laws regulating the export of data from the United States or your country of residence. You are solely responsible for your conduct and any data, text, information, photos, links and other content (“Materials”) that you submit, post, and display on the Website.

Any information, ideas, or opinions posted by the users of the Website do not necessarily reflect our views. We may, but shall have no obligation to, remove materials that we determine in our sole discretion are unlawful, fraudulent, threatening, libelous, defamatory, obscene or otherwise objectionable, or infringes or violates any party’s intellectual property or other proprietary rights or these Terms of Service.

The GiveMN service is a serious site focused on promoting charity giving. Because GiveMN is a public site, anything that we may deem to be obscene or in violation of the Terms will be removed or edited with or without your notice. However, failure to block or remove any Materials is not a warranty, endorsement, representation, or guarantee regarding such Materials. You understand that all your Materials and the consequences of posting Materials are your sole responsibility and are subject to the Terms of Use and the Privacy Policy.

All members agree to interact in a purposeful manner and avoid engaging in any conduct that:

• Violates or infringes the rights of others including, without limitation, patent, trademark, trade secret, copyright, publicity or other proprietary rights.
• Is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, or contains explicit or graphic descriptions, or accounts of, sexual acts.
• Victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability.
• Impersonates any person, business or entity, including GiveMN and its employees and agents.
• Encourages conduct that would constitute a criminal offense, or that gives rise to civil liability.
• Violates these terms of use, guidelines or any policy posted on the Website.
• Interferes with the use of the Website by others.

Other examples of illegal or unauthorized uses include, but are not limited to:

• Modifying, adapting, translating, or reverse engineering any portion of the Website;
• Using any robot, spider, site search/retrieval application, or other device to retrieve or index any portion or the service;
• Collecting any information about other members (including usernames and/or email addresses) for unauthorized purposes;
• “Stalking” or otherwise harassing other members;
• Reformatting or framing any portion of the Web pages or site images that are part of the Website;
• Creating user accounts by automated means or under false or fraudulent pretenses;
• Impersonating another individual or third party or otherwise misrepresenting your affiliation with another individual or third party;
• Creating or transmitting unwanted electronic communications such as “spam,” or chain letters to other members or otherwise interfering with other member’s enjoyment of the service;
• Submitting materials of any third party without such third party’s prior written consent;
• Directing any user (for example, by linking) to any materials of any third party without such third party’s prior written consent;
• Submitting materials that falsely express or imply that such materials are sponsored or endorsed by GiveMN;
• Submitting materials that infringe, misappropriate or violate the intellectual property, publicity, privacy or other proprietary rights of any party;
• Transmitting any viruses, worms, defects, Trojan horses or other items of a destructive nature;
• Submitting materials that are unlawful or promote or encourage illegal activity;
• Or submitting false or misleading information.

While we prohibit such conduct and content on the Website, you understand and agree that you nonetheless may be exposed to such materials and that you use the Website at your own risk.

Links to Other Websites and Content

GiveMN may include links to other third party websites. Some of these sites may contain materials that are objectionable, unlawful, or inaccurate. These links do not mean that GiveMN endorses these third party sites or services. You acknowledge and agree that we are not responsible or liable for any content or other materials on these third party sites. Any dealings that you have with advertisers found on GiveMN are between you and the advertiser and you acknowledge and agree that GiveMN is not liable for any loss or claim you may have against an advertiser.

Proprietary Rights

By submitting, posting or displaying any materials on or through the GiveMN service, you automatically grant to GiveMN a worldwide, non-exclusive, royalty-free, right to publicly display or re-display such materials in other formats not simply limited to websites.

Except as expressly authorized by GiveMN, you may not copy, modify, publish, transmit, distribute, perform, display or sell any of our proprietary information which includes the sum of all postings and photos to the site. GiveMN shall retain all Intellectual Property Rights in the software, tools, designs, documentation, data, and any other materials developed or provided by GiveMN in pursuant of these Terms, including but not limited to the services and any data, text, pictures, sound, graphics, logos, markets, symbols, video, visual, oral, or other digital material and any other content of any description, provided by GiveMN pursuant hereto.

The name GiveMN, the website logo, tagline, and domain are trademarks of GiveMN.

Disclaimer of Warranties

GiveMN disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or materials displayed on the Website. GiveMN disclaims any and all responsibility and liability for the conduct of any member.

The GiveMN service, and all materials, information (including, without limitation, any information or materials obtained or accessed through the GiveMN services), products and services included therein are provided “as is,” with no warranties whatsoever. GiveMN expressly disclaims to the fullest extent permitted by law all express, implied, and statutory warranties, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights. Some states do not allow the exclusion or limitation of implied warranties, so the above disclaimers and exclusions may not apply to you.

You agree that your use of the GiveMN service is entirely at your own risk.

Hold Harmless and Indemnity

You agree to hold harmless and indemnify GiveMN from and against any third party claim arising from or in any way related to your use of the GiveMN service, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys’ fees, of every kind and nature.

Limitation of Liability

Under no circumstances will GiveMN be liable to you for any indirect, incidental consequential, special or exemplary damages arising out of or in connection with use of the GiveMN service, whether or not GiveMN has been advised of the possibility of such damages. Such limitation of liability shall apply (i) whether the damages arise from use or misuse of and reliance on the GiveMN service, from inability to use the GiveMN service, or from the interruption, suspension, or termination of the GiveMN service (including such damages incurred by third parties), and (ii) notwithstanding any failure of essential purpose of any limited remedy and to the fullest extent permitted by law. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation and exclusions may not apply to you.

Term and Termination

These Terms of Service will apply to your use of the GiveMN service. We may terminate your membership immediately at any time, for any reason. Once your membership terminates, you will have no right to use the GiveMN service. Our proprietary rights, disclaimer of warranties, indemnities, limitations of liability and miscellaneous provisions shall survive any termination of your membership.

GiveMN may provide you with notices regarding the GiveMN service or these Terms of Service by regular mail, email, or postings to this Web site.

Donation to Charities

GiveMN features the vast majority of nonprofits that are registered 501(c)(3) organizations.

You understand that your contribution is made to Network for Good, a nonprofit, donor advised fund, which will distribute your donation to the nonprofit organization(s) that you indicated. As required by the Internal Revenue Service (“IRS”), Network for Good has exclusive legal control over the donation. In the rare event that a charity you have recommended does not satisfy Network for Good’s criteria for receiving donations (i.e., it has been classified by the IRS as a disqualified supporting organization, it cannot or does not accept donations, is not recognized by the IRS as a public charity, or is not in good standing with federal and state regulators), or if the charity returns its donation to Network for Good for any reason, Network for Good may select an alternate charity to receive your donation funds. If you have any inquiries regarding your donation, please contact a Network for Good representative at donations@networkforgood.org.

When you make a donation to a non-profit listed on our website, you grant GiveMN permission to access your donation records at any time. We will make available to non-profits online reports identifying, where available, the name, address, email, and transaction accounting details of the donation. If you choose to make your donation anonymously, only the donation amount will be shared with the non-profit. However, we will never share your personal information, donation activity or e-mail address with any other organization or individual without your expressed permission. Miscellaneous Provisions

These Terms of Service will be governed by and construed in accordance with the laws of the District of Columbia, without giving effect to its conflict of laws provisions or your actual state or country of residence. The parties agree to submit to the personal and exclusive jurisdiction of the courts located in Washington, D.C. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect. You shall not assign these Terms of Service or assign any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without our prior written consent. Any such purported assignment or delegation will be null and void and of no force or effect.

Without limiting the foregoing, under no circumstances shall GiveMN be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.

These Terms of Service constitute the entire agreement between you and GiveMN with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of the Terms of Service by a party will be effective only if in writing and signed by a party.
